Terms of Service &
Service Level Agreement

This Master Subscription Agreement ("Agreement") governs your acquisition and use of the LexOS platform. By registering a Law Firm tenant, clicking "Create Workspace," or executing an Order Form, you agree to these terms on behalf of your legal practice.

01 Software as a Service (SaaS) Provision

Fouchix Nexus Limited grants your firm a non-exclusive, non-transferable, revocable license to access and use LexOS solely for your internal legal practice management. You agree not to reverse-engineer, copy, or resell the underlying LexOS software code.

Intellectual Property: Fouchix Nexus retains all rights, title, and interest in the LexOS platform. The Law Firm retains all rights, title, and interest in its uploaded case data, client information, and documents.

02 Billing, Renewals, and Non-Payment

LexOS is a paid service billed securely via Paystack in Nigerian Naira (₦).

• Auto-Renewal: Subscriptions automatically renew at the end of the selected billing cycle (Monthly, Quarterly, Biannually, or Annually) unless explicitly canceled prior to the renewal date.
• The Non-Payment Protocol: If a payment method fails, the firm will enter a 14-day grace period. If payment is not rectified, the firm's tenant will be automatically downgraded to Read-Only Mode. Users will be able to view existing files but cannot create new cases, upload documents, or issue invoices until the balance is cleared.
• Data Deletion: Accounts lingering in a delinquent, unpaid state for over 90 days will be queued for permanent data deletion.

03 Service Level Agreement (SLA) & Uptime

Fouchix Nexus commits to an infrastructure uptime target of 99.9% per month. Planned maintenance windows will be communicated to Firm Administrators at least 48 hours in advance.

Limitation of Liability (The Court Deadline Clause): While LexOS provides schedule tracking and automated deadline reminders, Fouchix Nexus Limited is not liable for missed court appearances, blown statutes of limitation, or associated financial damages resulting from the use of, or inability to use, our service. The platform is an administrative tool, not a substitute for professional legal diligence.

Furthermore, Fouchix Nexus is not responsible for platform inaccessibility caused by localized internet service provider (ISP) failures, power grid outages, or events constituting Force Majeure.

04 Acceptable Use & Account Termination

LexOS is built for the legitimate practice of law. You agree not to use the platform to store, transmit, or process data related to active cybercrime, unmitigated money laundering operations, or any materials that violate the laws of the Federal Republic of Nigeria.

Fouchix Nexus reserves the right to immediately suspend or terminate any workspace found to be attempting to breach server security, distribute malware, or compromise the multi-tenant architecture.

05 Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with this agreement shall be settled through binding arbitration in Abuja, FCT, under the rules of the Arbitration and Mediation Act of 2023.
